The Legal Department at Ebury is core to the functioning of the Ebury Group. It provides front-line advice to all parts of the Ebury Group on legal, regulatory and governance matters which contribute to Ebury’s growth every day.

We are looking for an enthusiastic and driven Junior Legal Counsel to take ownership of governance across our growing international group of companies. This is a hands-on role with real responsibility, where you will be the go-to person for board and entity matters in a fast-paced, dynamic business. 

The successful candidate will join our collaborative in-house legal team, working closely with boards, directors and senior leadership across multiple jurisdictions. Your work will be highly visible and will help shape how Ebury governs its business as it continues to expand globally. 

The ideal candidate will be a fully qualified lawyer in a jurisdiction relevant to the Ebury Group and have excellent communication, organisational and drafting skills, and a genuine interest in corporate governance. 

Responsibilities:

• Partner with front office, corporate development, product and other teams to resolve day-to-day governance and legal queries. 
• Act as company secretary for a portfolio of Ebury subsidiaries, preparing board packs and agendas, attending meetings, drafting minutes and advising directors on governance matters. 
• Own and run the group's quarterly governance cycle, ensuring meetings, approvals and filings are delivered on time across jurisdictions.
• Prepare and manage the execution of corporate documents, including written resolutions, powers of attorney, certified copies and, where required, notarisation and apostille.
• Manage the filing of annual returns, financial statements and other mandatory corporate documents for Group entities, in collaboration with the relevant stakeholders.
• Maintain accurate corporate records for Group entities, including statutory registers, constitutional documents, beneficial ownership information and signing authorities, within the Group's entity management system. 
• Play a key role in setting up new entities as Ebury expands into new markets, and support the wider entity lifecycle (director changes, statutory registers and filings).
• Prepare playbooks, procedures, and self-service materials.
• Help shape and continuously improve the group's governance framework, policies and entity management tools.
• Participate in delivering relevant training and awareness programs across the organisation.  

Essential skills requirements include:

• Complete fluency in English (C1 or C2). 
• A legal qualification in a jurisdiction where Ebury has a significant presence is desirable but not essential; applicants holding legal qualifications from other jurisdictions will also be considered.
• A proactive mindset and an ability to communicate effectively in practical terms with stakeholders at all levels of the group including senior management. 
• At least 2 -3 years of post qualification experience either in private practice, in-house or at a corporate service provider, ideally working on corporate law matters.
• Curiosity and a willingness to broaden your expertise beyond governance into other areas of law, such as commercial and regulatory work.
• An ability in a fast paced environment to prioritise and manage a wide range of competing priorities (with support from other team members and external advisers where necessary).

The following skills and experience are not mandatory but would be of interest:

• Fluency in a third language. 
• Experience working on either commercial contracts or on payment regulatory matters.
• Experience using entity management or board portal software.
• Exposure to multi-jurisdictional entity management, including working with external corporate service providers and corporate counsel.
